Terms & conditions.

The terms that apply to carpentry and joinery work undertaken by C3L Carpentry & Joinery Pty Ltd.

1. Force Majeure

C3L Carpentry & Joinery will not be liable for any delay, interruption or failure to perform the work where it is due to any cause beyond our reasonable control, including acts of God, war, terrorism, natural disasters, strikes or other labour disputes.

2. Indemnification

The Client agrees to indemnify and hold harmless C3L Carpentry & Joinery from and against any claims, damages, expenses and liabilities arising out of or in connection with the work performed, except to the extent such claims, damages, expenses and liabilities are caused by our negligence or wilful misconduct.

3. Intellectual Property

Any intellectual property created in connection with the work, including designs, drawings, plans and specifications, remains the property of C3L Carpentry & Joinery. The Client is granted a non-exclusive licence to use that intellectual property solely for the purpose of the work.

4. Confidentiality

C3L Carpentry & Joinery agrees to keep confidential all information provided by the Client in connection with the work, except to the extent necessary to perform the work or as required by law.

5. Assignment

Neither party may assign this agreement without the prior written consent of the other party.

6. Governing Law

This agreement is governed by and construed in accordance with the laws of Queensland. Any dispute arising out of or in connection with this agreement is subject to the exclusive jurisdiction of the courts of Queensland.

7. Notices

Any notice or communication required or permitted under this agreement must be in writing and delivered personally, by registered or certified mail, or by email to the respective addresses provided by the parties.

8. Waiver

The failure of either party to enforce any provision of this agreement does not constitute a waiver of that provision or any other provision of this agreement.

9. Severability

If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.

10. Amendment

This agreement may only be amended by a written instrument executed by both parties.
